Acceptance of Terms

By accessing or using CarStem IQ ('the App'), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using the App. These terms apply to all users, visitors, and others who access or use the App through any device or platform.

Description of Service

CarStem IQ provides vehicle intelligence tools that may include OBD/ECU diagnostics, drive and evidence logging, scoped condition scoring, maintenance and service records, cost and ownership tools, VIN-based vehicle information, document or image processing, AI-assisted explanations and repair guidance, and links to external automotive resources. Availability and coverage depend on the vehicle, adapter, data sources, device and feature.

The App is for informational and vehicle-management purposes and does not replace a qualified automotive professional for safety-critical inspection or repair decisions.

User Accounts & Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to: provide accurate information during registration, keep your login credentials secure, notify us immediately of any unauthorized account access, and not share your account with others.

KnightOps Digital Holdings LLC reserves the right to terminate accounts that violate these Terms or pose a security risk.

Acceptable Use

You agree not to use the App for: any unlawful purpose or in violation of any laws or regulations, transmitting harmful, malicious, or offensive content, attempting to gain unauthorized access to systems or accounts, reverse-engineering or attempting to extract App source code, interfering with the App's proper functioning, crawling or scraping App data without permission, or any commercial use without explicit written permission. Violations may result in immediate account suspension.

Optional Location & Environmental Context

CarStem may request location permission for SOS or nearby-help features, regional repair-cost context, and local weather used to contextualize vehicle behavior. You may decline location and continue using the App. Precise coordinates may be held temporarily for the current app session but are not saved to your persistent vehicle history or profile. Derived weather observations may be retained with vehicle or drive evidence. Vehicle-reported sensors outrank location-derived weather when available, and location or weather does not independently create, clear or prove a vehicle fault.

AI, Diagnostic & Visual Limitations

CarStem uses artificial intelligence and automated systems for explanations, repair or maintenance guidance, research, document or image analysis, generated reference visuals and other features. AI output may be incomplete or wrong. A DTC shows what an ECU reported and does not by itself prove which physical component failed. Generated issue visuals are reference illustrations or inspection-location aids, not photographic proof of your vehicle's condition. Verify safety-critical findings and repair decisions with appropriate physical testing or a qualified automotive professional.

No Warranty; As-Is Basis

The App is provided on an 'AS IS' basis without warranties of any kind, express or implied. KnightOps Digital Holdings LLC makes no warranty that the App will be: error-free, uninterrupted, secure, accurate, or fit for your specific purpose. To the maximum extent permitted by law, we disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

Intellectual Property Rights

All content, branding, logos, software, algorithms, databases, and materials within CarStem IQ are the exclusive property of KnightOps Digital Holdings LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any part of the App without prior written consent. Your use is limited to personal, non-commercial purposes only.

Limitation of Liability

To the maximum extent permitted by law, KnightOps Digital Holdings LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, data loss, vehicle damage, personal injury, downtime, or financial loss arising from your use of or inability to use the App. This limitation applies even if we have been advised of the possibility of such damages.

Third-Party Links & Content

The App may use or link to third-party services and resources, including automotive information, public web sources, AI providers, weather services, payment or subscription providers, and external websites. KnightOps Digital Holdings, LLC does not control third-party content, availability, accuracy, terms or privacy practices. External information remains subject to CarStem's evidence and applicability checks where the feature provides them.

User-Generated Content

You retain ownership of photos, documents, and data you upload to the App. By uploading content, you grant KnightOps Digital Holdings LLC a non-exclusive license to store, process, and display your content for App functionality. You are solely responsible for ensuring you have the right to upload and share any content. You agree not to upload illegal, offensive, or third-party copyrighted material.

Indemnification

You agree to indemnify and hold harmless KnightOps Digital Holdings LLC, its officers, directors, and employees from any claims, damages, or costs (including legal fees) arising from your use of the App, violation of these Terms, violation of any law, or infringement of any third-party rights.

Modifications to Service

KnightOps Digital Holdings LLC reserves the right to modify, suspend, or discontinue the App or any feature at any time with or without notice. We may update features, pricing, or functionality. We are not liable to you or any third party for any modification, suspension, or discontinuance of the App or its features.

Modifications to Terms

KnightOps Digital Holdings LLC reserves the right to modify these Terms at any time. We will notify users of significant changes through the App or via email. Continued use of the App after modifications constitutes acceptance of the updated Terms. Your sole remedy for disagreement is to stop using the App.

Termination

KnightOps Digital Holdings LLC may terminate or suspend your account and access to the App immediately, without notice or cause, for any reason including violation of these Terms, illegal activity, or non-payment of fees (if applicable). Upon termination, your right to use the App ends immediately.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the applicable state laws where KnightOps Digital Holdings LLC is headquartered, without regard to conflict of law provisions. You agree to submit to the exclusive jurisdiction of courts in that location for any disputes.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall continue in full effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and KnightOps Digital Holdings LLC regarding your use of the App and supersede any prior agreements or understandings.
